Advanced Alloys is excited to be building a $500 million state-of-the-art green steel and aluminum facility on the Zenith Volts Campus and to work with its partners, Nano Graphene Technologies and Zenith Volts.

NGT will work with Advanced Alloys to create graphene-enhanced steel and aluminum alloys at their adjoining manufacturing facility. NGT will source the aluminum for their batteries from Advanced Alloys.

Advanced will build Nano-enhanced Green Steel and Aluminum using the geothermal and solar towers on the Zenith Volts Campus. These products will be stronger, lighter, and more rust resistant. They will require specialized advanced manufacturing equipment for melting, mixing, and heating these new alloys.

Stephen H. Smoot, Chairman

Stephen Smoot, Chairman, Mr. Smoot has been self-employed since 1983 as a consultant in the area of foreign technology development and transfer. From 1994 till 1999, Smoot funded and directed research in boundary-air laminar-flow technology, resulting in US patents and successful commercial applications.

Smoot assisted in forming, and was president of, Caspian Service Group Limited, a wholly-owned subsidiary of Caspian Services, Inc., formerly EMPS Corporation, in December 1999 and served as President of Caspian Services Inc. from inception until February 2002.

Smoot served as the Interim President of EMPS Corporation from June 2004 until December 2004 and for several years directed and funded research in high-frequency eddy-current particle separation technology.

From 2005 to 2009, Smoot served as director of BMB Munai, Inc., an oil and gas company in Kazakhstan. All companies cited above have been SEC reporting issuers.

Charlotte Luer, President

Charlotte Luer, President of Zenith Volts and CEO of LJH Financial Marketing Strategies. She has 25+ years of experience in financial marketing, branding strategy, and consulting. Her expertise includes educational and thought leadership roles and expansive, ongoing marketing campaigns for Fortune 500 companies, multi-billion-dollar hedge funds, private equity funds, trust companies, asset management firms, banks, and family offices. Her consulting work on behalf of multifamily offices and other high-profile financial industry clients has led to significant revenue growth and earned her a high level of respect in the financial services industry. She earned a B.S. in Journalism and an M.A. in Communications, both with honors, at the University of Florida.

Wolfgang Rempen, CEO

Wolfgang Rempen, CEO of Zenith Volts, grew up in Germany and earned MAs in Economics and Business Administration & Marketing at Ruhr University in Bochum. With 50 years of international experience, he has lived and worked in top positions in management, consulting, and business development in Asia, the Middle East, Africa, and Europe. Wolfgang experienced firsthand political revolutions and lived through many years of political unrest in Iran and Liberia, West Africa.

Having moved to New Mexico, he founded Foreign Accents, Inc., a leading design and import house for modern internationally sourced floor coverings, and was recognized by the United Nations as a trendsetter in design, which led him to assist a women’s coop in India in gaining a foothold in the US. After 20 years he decided to enter the commercial real estate business and is recognized as a top producer for very large land and ranch sales in New Mexico. In Zimbabwe he co-founded a nonprofit organization called the Goromonzi Project for orphaned children’s housing and education.

Wolfgang continues to stretch the envelope in his professional and personal life, and his interest never ceases in participating in the creation of upcoming industries to benefit social change. Today, he is known as a forward-thinking land and ranch broker with a commitment towards best use through industrial, alternative energy, and data center developments. Wolfgang owns an organic cattle ranch and lives near Albuquerque, NM.



Dr. Paul Tinari, Ph.D., P.Eng, Consultant

Dr. Paul Tinari, Ph.D., P.Eng, is a globally recognized scientist and engineer with a distinguished career spanning advanced energy systems, aerospace defense, and innovative construction technologies. From winning a national engineering design competition in his first year at Queens University to contributing to the cooling system design for the International Space Station, Dr. Tinari has consistently been at the forefront of groundbreaking innovation. With a Ph.D. in low-gravity fluid dynamics from the Von Karman Institute, his work on NASA and Pentagon-funded projects contributed to hypersonics research, the development of strategic defense initiatives, and advising the Joint Chiefs of Staff during the Reagan Administration. His achievements include a nomination for the Nobel Prize in Physics, organizing Canada's first Earth Day, and pioneering the next generation of 3D printing systems capable of rapidly constructing homes. Based in Port Moody, British Columbia, Dr. Tinari continues to drive transformative technologies that redefine possibilities.

Dr. Carmichael is a technologist and former US Air Force F-16 pilot with 30 years of leadership experience across AI, advanced materials, and cryptocurrency finance. He has pioneered basalt graphene concrete and supercapacitor systems, integrating large language model analytics with macroeconomic insights to create new market opportunities. As the founder of Nanographene Technologies, he guides product vision, intellectual property strategy, and financing, leveraging deep technical insight and proven operational discipline to scale disruptive graphene solutions for global infrastructure and energy storage.



Nick Coleman, Project Manager Engineer

Nick Coleman, Project Manager Engineer, is a proven self-made entrepreneur and financial structure engineer with decades of hands-on experience across engineering, finance, and large-scale project development—making him ideally suited to lead Zenith Volts' ambitious green energy and manufacturing ecosystem.

As a graduate of Investment Banking School, certified real estate appraiser, trained insurance underwriter, and licensed fixed-wing/helicopter/submarine pilot, he has acquired and built over 50 companies, owned 30+ residential apartment complexes, developed 3000+ acres of waterfront property, and executed complex financial structuring, acquisitions, and global stock listings.

His deep engineering background—certified saturation diver (180m logged), underwater welder, life support technician, radiographer, NDT expert—combined with his track record of creating businesses from scratch (including green energy software and high-profile ventures) equips him to de-risk, finance, and deliver the integrated solar + BESS + battery factory + green steel + data center platform at Zenith Volts, turning policy incentives, contracted revenues, and strategic alliances into a highly financeable, build-ready project.



Kenneth Webb, Analytics Manager

Kenneth Webb, Analytics Manager, is proficient in finance, technology, and operations, with 25 years of experience in institutional investment management. His knowledge spans corporate finance, cash management, buy-side institutional investments, and financial technology. Ken drives strategies to consistently achieve operational and organizational goals by effectively leveraging technology to create efficient solutions for business challenges.

He excels as a strategic and passionate leader, accelerating tactical and strategic initiatives, inspiring excellence at all levels of an organization, and is recognized for collaborating with senior leadership, finance, investment, operations, and technology teams to define and promote operational initiatives, ensuring alignment with business objectives. Mohammad Haseeb, Solar PV Engineer

Mohammad Haseeb, Solar PV Engineer, with over 8 years of hands-on leadership experience in designing and delivering over 200 MW of cumulative solar PV projects across utility, industrial, commercial, and military sectors. He is well-versed in the entire life cycle of EPC and PPA projects, including feasibility studies, technical BOQ, grid interconnection, system design, and post-installation audits. He possesses strong knowledge of PVsyst, Helioscope, HOMER, AutoCAD, and other simulation tools.

Mohammad holds a Master's degree in Power & Energy and has completed international training in inverter commissioning (Sungrow, SOLIS) and bifacial PV design (Canadian Solar). He is recognized for his proven track record of delivering technically sound, standard-compliant, and cost-effective solar PV solutions, with a strong focus on innovation, sustainability, and precision engineering.

July 2026 Project Update: A Phased Path Forward in Chaves …

Zenith Volts Corporation today reaffirmed its phased development approach for its Chaves County, New Mexico project, developed in coordination with county officials. The first phase — approximately 19 MW of agrivoltaic solar, 120 MWh of battery storage, and a data center under 50 MW — is designed so that farmland keeps farming: crops and grazing continue under and around the arrays, and a fully bonded reclamation plan returns every acre to agriculture at the end of project life.

The project is water-light by design. The data center is designed for dry, air-cooled operation with no aquifer draw for cooling — the valley's water stays with its farms.

Every subsequent phase returns to Chaves County for full development-plan review, sealed fire and life-safety engineering by New Mexico-licensed professionals, and financial assurance before construction. Under Zenith Volts' ten-year Manufacturing, Local-Content & Workforce Agreement with the Roswell-Chaves County Economic Development Corporation, construction and manufacturing jobs are prioritized for local residents, with workforce training coordinated through RCCEDC.

Zenith Volts and BioLargo Form Joint Venture to Deploy Advanced Battery Technology and Energy Infrastructure Projects

Partnership to Support Battery Manufacturing, Solar, and Data Center Development in New Mexico and Beyond

Cheyenne, WY – (December 6, 2025) – Zenith Volts Corp. (“ZVC”), a developer of large-scale energy and digital infrastructure, today announced it has entered into a Joint Venture Agreement with BioLargo, Inc., an innovative clean-technology company, to collaborate on the deployment and manufacturing of next-generation energy storage solutions and related infrastructure projects.

The partnership centers on the commercialization and manufacturing of BioLargo’s proprietary Cellinity™ liquid-sodium battery technology, designed for grid-scale storage, renewable integration, UV charging applications, and data center energy systems. 

Under the agreement, Zenith Volts will lead project development and capital aggregation - leveraging loans, grants, tax credits, and other structured financing solutions to fund large-scale energy infrastructure initiatives. BioLargo will serve as technology licensor, engineering partner, and minority equity participant across project entities. 

“This partnership represents a powerful convergence of project development expertise and breakthrough energy storage innovation,” said Zenith Volts Project Manager Nick Coleman. “Together, we are building the foundation for scalable infrastructure that supports data growth, renewable energy adoption, and domestic manufacturing.”

New Mexico Flagship Development

The joint venture’s initial focus is a major development initiative in New Mexico that is expected to include battery manufacturing facilities, solar farms, and data center infrastructure designed to strengthen regional economic development and energy resilience. 

Zenith Volts is currently pursuing more than $500 million in project financing through diversified capital sources and has already secured site control across thousands of acres designated for development. Projections suggest multi-billion-dollar battery demand tied to the broader infrastructure rollout. 

Upon construction of an initial battery manufacturing facility, estimated at approximately $170 million, BioLargo will license its Cellinity technology and provide engineering and project design services. 

Joint Venture Structure and Expansion Pipeline

Beyond New Mexico, the companies are actively evaluating additional infrastructure opportunities where Cellinity technology and related BioLargo innovations can be deployed across energy storage, renewable power, and digital infrastructure platforms. 

The agreement establishes a cooperative framework for financing, engineering, manufacturing, and deployment efforts through June 2027, with regular strategic coordination between both organizations.

Zenith Volts and Advanced Alloys Sign Agreement for Green Steel and Aluminum Production Facility

Partnership to Anchor Sustainable Metals Manufacturing at New Mexico Energy Campus

Cheyenne, WY – December 10, 2025 – Zenith Volts Corporation, a developer of large-scale energy and infrastructure platforms, today announced it has signed an agreement with Advanced Alloys, LLC to support the development and operation of a next-generation green steel and aluminum production facility located within the Zenith Volts Energy Campus in New Mexico.

The agreement establishes a long-term collaboration under which Zenith Volts will design, finance, and construct critical infrastructure supporting Advanced Alloys’ state-of-the-art metals manufacturing operations.

The planned facility will leverage recycled metals and sustainable production methods to manufacture green steel and aluminum products aligned with growing industrial decarbonization demand. The site will be located on approximately 40 acres within the Zenith Volts Energy Campus, part of a broader 8,400-acre advanced industrial development platform in New Mexico.

“This agreement represents a major step forward in building an integrated energy and industrial ecosystem capable of supporting next-generation manufacturing,” said Nick Coleman, Project Manager for Zenith Volts Corporation. “Green metals production is a critical component of the global energy transition, and this partnership positions New Mexico at the forefront of sustainable industrial development.”

Advanced Alloys is expected to construct and operate the production plant, while Zenith Volts will provide the underlying energy, utilities, and infrastructure systems required to power operations.

Under the agreement, Zenith Volts will develop and deliver essential infrastructure, including:

  • Power generation and transmission systems
  • Water supply and treatment infrastructure
  • Natural gas delivery systems
  • Road access and site logistics
  • Wastewater and drainage services

Advanced Alloys will lease the project site under an initial 15-year term, with renewal options structured into the agreement. Zenith Volts will retain ownership of the land and infrastructure assets, while Advanced Alloys will own and operate the manufacturing facility and plant equipment. The agreement also establishes minimum utility purchase commitments to ensure baseline energy utilization aligned with industrial production needs.

Both parties will collaborate to secure federal, state, and local incentive programs supporting the development, including:
